Terms & Conditions

1. Definitions and Interpretation

• 1.1 Unless the context does not so permit the following expressions have the following respective meanings :-
• 1.1.1 “Additional Document” means any document other than the Order and these Terms and Conditions, which Janick and the Buyer agree shall form part of the Contract;
• 1.1.2 “Buyer” means the person, firm or corporation purchasing the product(s) from Janick;
• 1.1.3 “Contract” means any contract between Janick and the Buyer for the sale to the Buyer of the Products;
• 1.1.4 “Order” means the offer by the Buyer to purchase the Products;
• 1.1.5 “Price" means the price payable for the Products;
• 1.1.6 “Products” means any glazing products sold by Janick; and
• 1.1.7 “Working Day” means any day except Saturday, Sunday or any bank, customary, public or statutory holiday.
• 1.2 A reference to “writing” includes any facsimile or electronic mail transmission.

2. The Contract

2.1 The Contract shall not come into existence until an order acknowledgement is issued by Janick.

2.2 These Conditions comprise the only terms and conditions upon which Janick supplies the Products to the Buyer, and shall prevail to the exclusion of all other terms and conditions...

2.3 No variation to the Contract shall be binding unless agreed in writing by authorised representatives of the parties.

2.4 The Contract shall comprise these Terms and Conditions and the Order, together with any Additional Document.

3. Ordering

3.1 The Buyer may place all Orders in writing or electronically, and shall submit them to such postal or e-mail address as Janick shall specify.

3.2 The Buyer shall ensure that each Order specifies the exact Products, quantities, and requested lead time.

3.3 Janick is under no obligation to accept any Order until an acknowledgement is issued.

3.4 Janick reserves the right to reject any Order at its discretion.

4. Delivery

4.1 Janick will deliver the Products to the address specified. Janick shall have no responsibility for loading or unloading the Products.

4.2 Risk in the Products shall pass to the Buyer immediately upon delivery.

4.3 Any lead time or date for delivery specified in the Order shall not be binding upon Janick. Time for delivery shall not be of the essence of the Contract.

4.4 Full payment is a condition of delivery being made.

4.5 Janick reserves the right to levy a charge for standing time if unloading is delayed at the delivery address.

5. Ownership of Products

The ownership of the Products shall pass to the Buyer once the Buyer has paid for them in full.

6. Price and Payment

6.1 The Price shall be the price set out in Janick's order acknowledgement or quotation.

6.2 Janick reserves the right to increase the Price due to changes in instructions or variations in material/labour costs.

6.4 Payment must be made upon delivery by cash, BACs transfer, or credit/debit card unless otherwise agreed.

6.5 Late payments will incur interest at the rate specified in the Late Payment of Commercial Debts (Interest) Act 1998.

7. Warranties

7.1 Janick warrants that Products will be free from material defects for 5 years from delivery, excluding misuse.

7.3 Janick’s sole liability shall be limited, at its option, to the replacement or repair of the Products affected.

7.4 Defects must be reported within two Working Days of discovery or delivery.

8. Limitations of Liability

8.1.1 Total liability shall not exceed the Price of the Products.

8.1.2 Janick shall not be liable for loss of profit, revenue, business, or any indirect/consequential loss.

9. Information and Images

9.3 Imagery used on the website is for illustrative purposes only. Actual colours may differ.

9.4 Computer screens cannot be relied upon to accurately replicate colours. We recommend requesting a sample.

12. Incorrect or Damaged Products

12.1 Buyers must check specifications (sizes, style, etc.) upon delivery. Do not begin installation if unhappy.

12.2 It is the Buyer's responsibility to unwrap and check for damage before signing. Sign as "damaged" if applicable.

12.3 Damages or shortages must be reported within 48 hours with supporting photos.

13. General

13.4 All Information concerning Janick’s business must be held in strict confidence by the Buyer.

13.8 The Contract shall be governed by English law and subject to the exclusive jurisdiction of the English courts.
